Our Software Licence Agreement Has Been Updated. View the latest version →
Updated: 10/23/2026
This licence agreement from Plus Software (Plus) explains the terms of use of our Applications and Services (see key terms explanations section at the end of this document) in an easy to read and understand format.
Should you continue to use the Software (including all Custom Development) after the 30-Day Trial, you automatically accept all terms and conditions within this agreement.
This licence agreement is not an “All or Nothing” Licence Agreement. Plus does not constrain Customers through lock in contracts, expensive deployments, and high software fees. If You have any concerns or questions, you are welcome to contact us by emailing any requests to Support@PlusSoftSolutions.com
1.1. Plus Software has a wide range of Applications and Services (see key terms below) for use within Business (B2B) environments in several countries, preferably sold by Partners or if required, direct to You.
1.2. These Applications are sold on a monthly “cancel anytime” subscription. We do also offer an annual subscription, if required.
1.3. The use of these Applications, irrespective of Trial or “Sign Up” usage, means You agree to this Licence Agreement.
1.4. We, or our Partner, will provide Services associated with the deployment of these Applications.
1.5. We will support the use of these Applications through our help desk, prioritised by email, then telephonic support. Our aim is to provide high quality support.
1.6. Plus does not provide LEGAL, TAX OR FINANCIAL ADVICE. Plus is not a Financial Planner, a Broker or Tax Advisor. Your Business financial situation is unique, and any information and advice obtained through the Service may not be appropriate for your situation.
2.1. By using the information, tools, features and functionality of the Plus Software Applications, Services and Domains, including any sub-domains, You are agreeing to be bound by the terms and conditions and/or Sections within this Licence Agreement.
2.2. You may not use the Service and You may not accept this Agreement if You are not of a legal age in your country of residence.
3.1. Plus provides Cloud Hosting Services in conjunction with major Vendors such as Google, Microsoft, and Amazon.
3.2. You may use the Services associated with our Applications on a “Fair Use” basis. In other words, if we deem your usage of the Applications and Services is costing more than the monthly or annual revenue accrued from your business, we may request an increase in monthly or annual revenue. We will engage with You in advance of any changes in billing and always act in good faith.
3.3. You may not use the Hosted Services (Plus or 3rd Party) in any way that causes, or may cause, damage to our own Hosted Services or Platform or any of our Partners or impair the availability or accessibility of said Hosted Services.
3.4. You may also not do anything illegal on our Applications.
3.5. You may only use the licenced number of Users paid for.
3.6. The API of any of our Applications (if available) may only be used by You if approved by Plus.
3.7. You may only use a Supported Web Browser.
3.8. Fair Use relates to platform infrastructure usage only. It is separate from, and does not affect or inflate, Your Large Language Model (LLM) token billing (see Section 7).
3.9. Token costs are billed separately from Your monthly platform licence fee, based on actual usage, and are visible in real time within Your PlusLive AI usage dashboard (input tokens, output tokens, and total spend).
3.10. On request, no more than once per quarter, Plus will provide a summary reconciliation showing the total input and output tokens billed against the corresponding underlying LLM provider invoice period, without disclosing Plus’s internal margin or billing methodology.
3.11. A configurable token spend-limit / alert threshold is planned for a future platform release.
4.1. Most importantly, we will always act in good faith to protect your information and do our best to keep Customer Information confidential.
4.2. Plus may disclose Customer Information to the Partners who have a need to access Customer Information for the performance of their work with respect to this Agreement.
4.3. By submitting information, data, passwords, usernames, log-in information, and other content to Plus through Applications and any Services, You are licensing that content to Plus solely for the purpose of providing the Service.
4.4. You agree and understand that You are responsible for maintaining the confidentiality of your password and email address.
4.5. Plus may use and store the content, but only to provide the Service to You and by submitting this content to Plus, You represent that You are entitled to submit it to us for use for this purpose, without any obligation by us to pay any fees or other limitations.
4.6. Plus will not sell, exchange, or release any of your information or financial information to a third party without your express permission or as required by law or court or governmental order.
4.7. For more detailed information about Plus Software’s Privacy policy, please see our Website(s). That privacy agreement is hereby incorporated into this Agreement.
4.8. For the purpose of this Agreement, ‘Customer Information’ includes both personal information and Your Data submitted through the Applications and Services.
4.9. Your Customer Information, and any AI Outputs generated from it, will only be used to provide the Service to You. Plus will not re-use or repurpose Your Data or AI Outputs for any other purpose.
4.10. PlusLive AI is currently read-only in relation to Your source systems. If You activate our AI Workspace module (currently in Alpha, includes Agents & Apps functionality), write-back may apply as part of how that module works. It is Your responsibility (and/or Your Partner’s) to configure and test any write-back functionality in a sandbox environment before enabling it on Your live systems. Plus Software can advise during this process on request, billed at standard time and materials rates. For the avoidance of doubt, Plus will not enable the Agents & Apps module on Your account without Your express written consent. Once activated, any write-back functionality is configured and controlled by You (and/or Your Partner). Plus has no visibility or control over the specific actions any agents or API connection platforms. If you do not provide Your consent, We will not limit, reduce or terminate our Services that were otherwise being provided to You.
At PlusLive AI, we take Your Customer Information seriously.
We host your applications using trusted cloud platforms like Microsoft Azure, Google Cloud, and Amazon Web Services. These providers follow global best practices for data protection, and we follow them too.
All Your Customer Information is protected with industry-standard encryption both when it’s stored and when it’s being transmitted. Our cloud providers maintain certifications including ISO 27001, SOC 2 Type II, and other internationally recognised security standards.
Here’s what that means for you:
5.1. We’ll always protect Your Customer Information and keep it confidential.
5.2. Only authorised staff or partners can access Your Customer Information, and only when it’s needed to support you.
5.3. We will never sell or share your information, except as described in this Agreement.
5.4. If there is ever a data breach or security incident affecting Your business data or personal data, meaning unauthorised access to, or material loss of, Customer Information, we will let You know within 48 hours, or as soon as practicable. We will cooperate with You to preserve relevant evidence.
5.5. Where a data breach or security incident under this Section is caused by Plus’s negligence, breach of this Agreement, or failure to maintain the security standards described above, Plus will bear the reasonable direct costs of remediation attributable to that cause. Plus’s liability under this Section counts towards, and does not add to, the cap in Section 12 (Restrictions, Warranties, Disclaimers and Indemnities).
5.6. If You cancel Your licence or terminate this Agreement, You may export all data, configurations, reports, prompts and workflow logic held within the platform for a minimum of 30 days after Your termination notice, before deletion. Self-service export carries no charge; if You require hands-on assistance from Plus Software staff, this is billed at standard time and materials rates (see Section 9). Where export of specific data is not technically possible due to genuine third-party or platform constraints, we will use best efforts to provide the data to You in an alternative form. Data deletion is also subject to Microsoft Azure’s own data retention and deletion policies, which govern any residual copies held at infrastructure level. Exported Builds are copies for Your records only and remain the property of Plus.
You can read more in our Privacy Policy, available on our website. And if you ever have questions, we’re always here to help.
The Provider’s primary data hosting is located in Australia, in data centres that meet or exceed ISO 27001 and SOC 2 security standards.
6.1. Client data will ordinarily be stored in Australia; however, to deliver certain features (including AI/LLM processing), secure transmission of data to service providers in other countries may occur.
6.2. In such cases, the Provider ensures contractual and technical safeguards are in place to protect the data in line with the Privacy Policy. Plus will comply with the Privacy Act 1988 (Cth) to the extent it applies to Plus. . Plus maintains and discloses an up-to-date list of the LLM providers used to process Customer Information (see Clause 7). As the specific countries and safeguards relied on for each provider’s processing are determined by that provider and outside Plus’s operational control, You are responsible for reviewing each provider’s terms directly to confirm their compliance position for Your purposes.
Some features in PlusLive AI use Large Language Models (LLMs). These are smart tools that help with things like generating content, answering questions, or summarising information — all to help you work faster and more easily.
We only work with trusted LLM providers that meet strong privacy and security standards. Here’s who we currently use and how they handle Your Customer Information:
OpenAI (GPT-4, GPT-4o) Privacy Policy | API Terms
Anthropic (Claude) Privacy Policy | API Terms
Google (Gemini) Privacy Policy | API Terms
xAI (Grok) Privacy Policy | Terms
Meta (LLaMA, Code LLaMA) License | Privacy Center
What About Future Models?
We may add more LLM providers in the future. Any new providers will have to meet the same strict standards.
You can bookmark our Data Security page and check it anytime. This way, you’re always in control of staying updated without inbox clutter.
If you’d like more detail about any of our security practices, just contact us at Support@PlusSoftSolutions.com
Staying Informed About Changes
Rather than emailing you about every update, we’ve made it easy for you to stay informed:
7.1. We maintain an up-to-date list of all LLM providers (see #7, above)
7.2. Any significant changes to our data handling practices will be highlighted on this page
7.3. We’ll update the “Last Modified” date so you can see when changes were made
7.4. For major changes that affect your rights or how we handle Your Customer Information, we’ll still notify you directly
7.5. You select and control which supported LLM provider processes Your Customer Information within the PlusLive AI platform. Only enterprise-grade API subscriptions are used — never consumer-grade endpoints.
7.6. If we update our approved LLM provider list, You will be notified at least 14 days prior via an in-app banner explaining why the change is being made. We carefully consider the impact on our customers before making a change like this. If You do not wish to accept a new provider, You may cancel Your subscription under the standard cancellation terms in Section 11, with no penalty.
7.7. Plus currently only uses LLM providers whose enterprise terms confirm that Your Customer Information will not be used to train, improve, or develop their models. Each LLM provider sets and controls their own terms. Plus cannot promise anything beyond what those providers themselves agree to, and Plus is not responsible if a provider changes their own terms in future.
7.8. AI Outputs, such as reports and answers generated from Your Customer Information, belong to You. Plus claims no rights in them. Builds are covered in Section 8.
Custom Development generally requires a Customer Requirements Document and a Sign Off, normally a separate process and agreement, although at times we accept an email Yes or No to our suggested Development Project. Irrespective, the following applies:
8.1. We warrant that the development of any Custom work will not infringe the Intellectual Property Rights of any third party.
8.2. We warrant that the Software will conform substantially with the Customer Requirements. We do not warrant that the Software will be error free.
8.3. We will rectify any defect in the Software which renders the Software incapable of working as per the Customer Requirements documentation if notification of such defect is received as quickly as possible (for reputational reasons) or during a maximum period of 60 days following the deployment date.
8.4. Plus owns the software and all Builds, whoever creates them. Any rights You have in Builds pass to Plus when they are created. Where they can’t, You give Plus an exclusive, perpetual, royalty-free licence to them.
8.5. All points under the heading Restrictions, Warranties, Disclaimers, and Indemnities, within this agreement apply.
8.6. In addition, we reserve the right to include any Custom Development into future releases unless the Customer submits in writing the reasons for Plus not to include such enhancement (for example, competitor risk).
8.7. Plus will not reuse or disclose Your confidential business rules contained in Builds for any other customer.
8.8. You can use every Build in Your account for as long as Your subscription is active, whoever created it.
At Plus Software, your success with our cloud-based applications is our priority.
A satisfied, well-supported customer will continue to use and refer our software. Our internal service culture is designed to acknowledge your requests within 2 hours, though your time zone may affect this.
Since we offer real support from real people (not automated systems), if we don’t make this internally set deadline, we appreciate your patience as we balance multiple projects and requests.
What’s Included at No Extra Charge:
9.1. Regular enhancements to keep our software cutting-edge
9.2. Ongoing improvements for performance and usability
9.3. Timely resolution of any errors or bugs impacting your application’s functionality
9.4. License transfers (except when instances change)
9.5. Dashboard creation
9.6. New company setups
9.7. Assistance on behalf of a Partner (billed to you)
9.8. Additional training over and above our initial setup and deployment sessions
9.9. Additional training for others within the organisation
9.10. Support is billed at $215 per hour (2025 rate), in 15-minute increments.
9.11. Submit your requests via email to Support@PlusSoftSolutions.com.
9.12. For Support inquiries we deem billable, we’ll provide a quick time and cost estimate for your approval or rejection. If relevant, we may involve your Partner.
9.13. For custom development or specialized enhancements, please refer to our Custom Development section.
10.1. PlusLive AI commits to 99% uptime, aligned with the underlying Microsoft Azure infrastructure SLA.
10.2. Planned maintenance windows will be communicated in advance via an in-app banner.
10.3. If uptime falls below the committed threshold, You will receive a pro-rata service credit, capped at one month’s licence fee, applied to a future invoice. Credits must be claimed within 30 days of the event and do not apply to Azure infrastructure outages, scheduled maintenance, or issues on Your side. Where downtime is caused by Plus’s own negligence or breach of this Agreement (as distinct from an Azure infrastructure outage or scheduled maintenance) and persists beyond 72 consecutive hours, the service credit under this Section is not Your sole remedy, and You may pursue such other remedies as are available under Section 12, subject always to the liability cap in that Section.
10.4. We will give 90 days’ written notice before intentionally deprecating a feature You rely on. Where a relied-on feature is replaced, You will retain feature parity at no higher price tier. Any unintended removal of a feature is treated as a defect and will be remediated as soon as practicable.
11.1. Plus uses the services of payment gateways such as Stripe or Square and we are not responsible for any mistakes made by these 3rd Party Payment providers.
11.2. All our Applications and Services are pay on invoice. Plus does not provide credit facilities.
11.3. All Plus Software Applications are subject to a paid 30-Day Trial opportunity. There may be Service costs associated to set up the Trial.
11.4. Your first monthly or annual fee for use of the Application will need to be paid to initiate your 30-Day Trial and associated Support Services.
11.5. Refunds are not offered as standard. Plus may offer a refund or credit at its discretion, case by case.
11.6. Without limiting the other provisions in this Section 11, You are free to cancel, without penalty, where specified in this Agreement, including in accordance with Sections 7 and 13.
11.7. On cancellation, You may export Your Customer Information as set out in Section 5 (Data Security) before deletion.
11.8. If You have a monthly pay as you go (PAYG) agreement with us, You only need to give us 30 days’ notice after your initial Trial of 30 days.
11.9. Plus Software Applications are subject to an annual increase of 3%, catering for inflation. Irrespective of country, Australian CPI is used as the basis (see here). Should inflation soar out of control (more than 6% is our “out of control” percentage number), over a consistent three year period, we reserve the right to adjust the annual 3%. In that unlikely case You will be notified. It’s worth noting any of our subscriptions can be cancelled anytime.
11.10. If You have an annual agreement with us, You will need to give us a minimum of 14 days’ notice before the end of the Calendar Quarter and if You request the refund we will refund You the remaining annual amount outstanding, not including the existing Quarter. We will cancel the next payment but still allow You to use the Application up to the end of the nominated quarter.
11.12. To officially cancel your licence or terminate this Agreement, You need to request your cancellation via email to Support@PlusSoftSolutions.com specifying your application and company name:
11.12.1. You are required to cancel the agreement DIRECTLY with Plus Software, and not through a Partner or Third-Party provider.
11.12.2. Your licence has NOT been cancelled if we have not acknowledged the cancellation by reply email (which we will not unreasonably withhold or delay).
11.12.3. If we do not reply within 48 hours acknowledging your email, it may be because we have not received your cancellation due to incorrect spelling of the email address or SPAM filters.
11.12.4. Therefore, if You have not had confirmation from us, You will need to re-send your cancellation email to Admin@PlusSoftSolutions.com or call us on the telephone number on our website, to confirm your cancellation.
12.1. Plus warrants to the Customer that Plus:
12.1.1. has the legal right and authority to enter into this Agreement and to perform its obligations under this Agreement;
12.1.2. will comply with all applicable legal and regulatory requirements applying to the exercise of Plus’s rights and the fulfilment of Plus’s obligations under this Agreement;
12.1.3. has access to all necessary know-how, expertise, and experience to perform its obligations under this Agreement.
12.2. You may not, unless agreed in writing, reverse compile, dissemble, remove, release, copy, extract, modify or otherwise reverse engineer any or part of the Applications or Services related to Plus.
12.3. Your access and use of Plus Applications may be interrupted from time to time for any of several reasons, including, without limitation, the malfunction of equipment, periodic updating, maintenance or updating of any of our Applications or websites or hosted services that Plus, with their own discretion, may elect to undertake.
12.4. Nothing in this Agreement shall allow You to assign or transfer any Intellectual Property Rights from Plus to any person or party. Nothing in this Agreement shall allow Plus to assign or transfer any Intellectual Property Rights from You to Plus or any person or party (including Your Customer Information and any software You own) except for Builds (see 8.4). Your Customer Information and AI Outputs remain Yours.
12.5. Plus shall in no event be responsible or liable to You or to any third party, whether in contract, warranty, or otherwise, for any direct or indirect punitive damages, including but not limited to loss of profit, revenue, or business, arising in whole or in part from your access to Plus, its Applications and Services.
12.6. Neither party shall be liable to the other party in respect of any losses arising out of or from your use of and access to Applications. Neither Party is liable to the other for a Force Majeure Event.
12.7. Acceptance. The written specification of the Applications and Services is the Proposal You accepted. Following implementation, You will test the Applications and Services against that specification and, within fifteen (15) business days, provide written confirmation that they comply with it, or notify Plus of any non-conformance. Where non-conformance is notified, Plus will remedy it and You will re-test. If You do not respond within fifteen (15) business days, or if You use the Applications in live production, the Applications and Services are deemed accepted. For the avoidance of doubt, any acceptance or deemed acceptance of any Applications or Services do not in any way limit the remedies available to You in connection with any (a) failure of Plus to comply with this Agreement, (b) loss or damage to You caused by Plus, or (c) breach of any contractual or statutory warranty by Plus, subject to the liability cap in this section.
12.8. Notwithstanding the above, Plus’s liability to You for direct loss arising from data loss, data corruption, a confidentiality breach, a privacy breach, or a security incident, in each case caused by Plus’s negligence or breach of this Agreement, is not excluded, but is capped at the total fees paid by You in the twelve (12) months preceding the event giving rise to the claim. Where Plus has given You a separate written confirmation specifying a higher limit, that limit applies in place of this cap. This cap applies in aggregate across the whole of this Agreement and is not in addition to any other cap or limit in it. This cap does not extend to, and Plus is not liable for: (a) the loss of any funds electronically transferred into or between accounts through use of the Applications or Services; (b) liquidated, punitive, exemplary, aggravated or other non-compensatory damages; (c) the refund or disgorgement of fees paid; (d) any liability arising from Applications or Services not accepted in accordance with the Acceptance clause in this Section; or (e) any claim brought, or judgment enforced, in the United States of America or Canada. Plus’s total liability to You for all other claims under or in connection with this Agreement is capped, in aggregate, at the total fees paid by You in the twelve (12) months preceding the event giving rise to the claim.
12.9. On written request, no more than once in any twelve (12) month period, Plus will provide You with a current Certificate of Currency evidencing its Professional Indemnity insurance. Plus will notify You if that insurance lapses or is not renewed.
12.10. You agree to defend, indemnify, and hold harmless Plus, its officers, directors, employees, and Partners, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, demands, and expenses (including but not limited to legal fees) arising from Your use of and access to Applications and Services.
12.11. Plus agrees to defend, indemnify, and hold harmless You, Your officers, directors, employees, and personnel, from and against any and all claims, damages, losses, and liabilities (including reasonable legal fees) arising from Plus’s negligence, wilful misconduct, or breach of this Agreement. Any amount payable under this indemnity counts towards, and does not add to, the cap set out above.
12.12. Plus does not provide financial, accounting or taxation advice. You remain responsible for verifying any output of the Applications used for financial, accounting or taxation purposes.
12.13. You acknowledge that complex software is never wholly free from defects, errors, and bugs; and subject to the other provisions of this Agreement, Plus gives no warranty or representation that the Applications will be wholly free from defects, errors, and bugs.
12.14. At times we may “End of Life” a particular Application due to technological or diminishing Customer numbers (using that Application). If this occurs, we will always act in good faith and do our best to offer a path to another Application within our product stable or provide ample time to move to another Vendor.
13.1. Agreement Modification:
13.1.1. Plus may modify this Agreement from time to time.
13.1.2. We will notify You of any changes to this Agreement via an in-app banner shown at Your next login. We use the in-app approach rather than email because it reaches everyone who actually uses the platform, in the moment they’re using it, and unlike an inbox, it can’t be missed in spam filters or an overflowing mailbox. To aid communication even further, note that currently there’s no limit on the number of users on Your account, so You’re welcome to add Your admin, finance, or legal team as users if You’d like them to see these notices directly too.
13.1.3. Despite the above, where a change to this Agreement relates to data handling or security practices (Sections 4, 5, 6 or 7), the addition or removal of an approved LLM provider (Section 7), or any material reduction in Services or accessibility to Applications (each a “Material Change”), Plus will provide at least 14 days’ written notice via in-app banner and You may terminate this Agreement without penalty by notice given within 30 days of that notice.
13.1.4. If we do make changes to the Agreement, and we deem these changes to be immaterial to Service and Support or Payments, we may not notify You.
13.1.5. This Agreement will continue to apply until terminated by either You or Plus. If You want to terminate your legal agreement with Plus for any reason, You may do so by emailing Support@PlusSoftSolutions.com
13.1.6. We will always act in good faith in terms of Licence changes, to the best of our ability.
13.2. Government (Laws): This Licence Agreement is governed by the Laws of Australia, and in particular South Australia, which has jurisdiction to adjudicate any dispute arising under or in connection with this Agreement. This jurisdiction is non-exclusive only where: (a) a party seeks an urgent interlocutory injunction in the state where the Customer operates; or (b) a regulatory body requires local proceedings.
